Non-Disclosure Agreements
While Non-Disclosure-Agreements are not easily enforceable, they provide a degree of protection and allow parties to share sensitive information and collaborate.
IP Assignment
Artwork, code, written content are often called copyright which is a form of intellectual property. Unless it is assigned to the company, copyright inherently belongs to the creator. All projects must ensure contributors assign contributed intellectual property to the company.
Memo of Understanding
A Memo of Understanding (MOU) is often a non-binding legal document that sets out the general terms of a deal, joint venture or partnership. It forms the foundations of a future legally binding agreement and is useful to summarize the intentions of the participating parties.
SAFT Agreements
Similar to the SAFE, a Simple Agreement for Future Tokens (SAFT) is a company-friendly manner for investors to give capital in exchange for the rights to a future token. Please note, SAFTs often require a token registration company to be established.
SAFE Agreements
Simple Agreements for Future Equity (SAFE) are a company-friendly way for investors to give capital to startups + web3 projects in exchange for future equity. This version is a standard, post-money valuation cap SAFE and requires a company to be setup.
Demand Letters
Demand letters are a formal document sent by one party to another to resolve a dispute. The sending party may issue one requesting payment or another action in order to right a wrong. This is often a first-step prior to taking legal action.
